Following ICSA's research on Boardroom Behaviours in June and ICSA's responses in May and October 2009 to the review of the Combined Code by the Financial Reporting Council, the FRC has commissioned ICSA to lead the project on its behalf to update the Higgs Guidance ("Good Practice Suggestions from the Higgs Report", last reissued in 2006).

The Higgs guidance focuses on the role of the chairman and non-executive directors and, to some degree, boardroom dynamics. Both the Walker and Combined Code reviews concluded that the quality of corporate governance ultimately depends on behaviour not process.

The ICSA is extending an invitation for people to share their views on what constitutes good and inappropriate boardroom behaviour and how fresh guidance can be formulated.
